Mergers and acquisitions of agri-food companies of the BRICS countries | Слияния и поглощения агропродовольственных компаний стран БРИКС

There have been investigated the trends of foreign direct investments in the form of mergers and acquisitions (MA) of agri-food companies with participation of the BRICS countries (Brazil, Russia, India, China, South Africa). It is determined that the intensification of the process of consolidation capital falls within 2000 and 2008, when the number of deals increased from 26 to 193. In the crisis years despite the reduction in the number of transactions the average cost of one transaction increases, that is, major assets are purchased. Companies of the BRICS countries often act as a goal, not an investor. First the process of merger and acquisition of national companies goes within each of the BRICS countries. Then the enlarged business is acquired by global companies outside of the BRICS. Cross-transactions between the countries of the group do not exceed 1.2% of the total value of transactions with the participation of the BRICS countries. The Indian food companies often act as an acquirer, which through the purchase of Brazilian businesses of the same sector of activity tend to increase its share in the world market of sugar and biofuels. Thus, investment cooperation of BRICS countries in the form of MA in the agri-food sector has not become a priority yet. As to the number and volume the transactions of MA with countries outside the BRICS dominate. All major cross-trades are made after 2007, i.e. during the formation of the group of 5 countries as an independent pole of global economy development. However, big business off-shoring, the "dissolution" of the national borders of countries and the impact of the global financial capital make it greatly difficult to implement the BRICS project as an independent geopolitical and financial-economic force.

Исследованы тенденции движения прямых иностранных инвестиций в форме слияний и поглощений (СиП) агропродовольственных компаний с участием стран БРИКС (Бразилия, Россия, Индия, Китай, Южная Америка). Определено, что активизация процесса консолидации капитала приходится на 2000—2008 гг., когда число сделок возросло с 26 до 193. В кризисные годы на фоне сокращения числа сделок возрастает средняя стоимость одной сделки, то есть покупаются крупные активы. Компании стран БРИКС чаще выступают в качестве цели, а не инвестора. Сначала идет процесс слияния и поглощения национальных компаний внутри каждой из стран БРИКС. Затем укрупненный бизнес приобретается глобальными компаниями вне стран БРИКС. Кросс-сделки между странами группы не превышают 1,2% общей стоимости сделок с участием стран БРИКС. При этом в роли эквайера чаще выступают индийские продовольственные компании, которые посредством покупки бразильского бизнеса той же сферы деятельности стремятся увеличить свою долю присутствия на мировом рынке сахара и биотоплива. Таким образом, инвестиционное взаимодействие стран БРИКС в форме СиПов в агропродовольственной сфере пока не стало приоритетным. По численности и объему доминируют сделки СиП со странами вне БРИКС. Все крупные кросс-сделки совершены после 2007 г., то есть в период формирования группы 5 стран как самостоятельного полюса развития глобальной экономики. Однако офшеризация крупного бизнеса, "растворение" национальных границ стран и воздействие глобального финансового капитала существенно затрудняют реализацию проекта БРИКС как самостоятельной геополитической и финансово-экономической силы.
