The choice of the payment method in mergers and acquisitions in Latin America: the case of transportation and infrastructure industries

This work explores the financing choices in a broad sample of 528 mergers and acquisitions (M&A) deals by firm acquirers of publicly and privately held targets in the transportation and infrastructure industries in Latin America (1990-2012). The transportation and infrastructure industries are an ideal venue for studying the importance of corporate governance in making M&A financing choices, given the large number of closely held firms. One interesting question of whether similar differences are observed in the methods of payment in M&A in the different countries in the region. Furthermore, our dataset allows for a wide range of institutional differences in regulations and taxes affecting the financing of M&A activity. We find a dominance of ‘cash’ as a method of payment in Latin America. The motives for the dominance of cash are discussed.

Este trabajo explora los métodos de financiación en una muestra de 528 fusiones y adquisiciones (F&A), de empresas con cotización y sin cotización en bolsa, en los sectores del transporte y de infraestructuras en Latino América (1990-2012). La indústria de transporte y de infraestructuras posee la estructura ideal para el estudio de la importância del gobierno de la empresa en la realización de F&A, tomando en consideración el número significativo de empresas sin cotización en bolsa. Una cuestión de interés consiste en el análisis de diferencias en los métodos de pago en las fusiones y adquisiciones en los principales países de la región. Además, la muestra considerada cubre una grand diversidad de diferencias institucionales en las regulaciones y en los sistemas de impuestos que impactan el financiamento de las operaciones de F&A. El trabajo discute los motivos para la prevalencia de ‘cash’ como el principal método de pagamento de F&A en Latinoamerica.
