The author analyses the current problems of company restructuring. The author takes a basic hypothesis according to which restructuring is a process conditioned by transition and motivated by changes. The introductory part deals with the significance of the topic, the aim and task of the research work and the literature, formulates the working hypothesis and explains the material and method of work. The following parts deal with the results of the research and the discussion. The second part identifies the meaning and formulates the purpose and significance of restructuring. The third part presents the experience from the theory and practice of restructuring in the developed countries. The fourth part analyses the economic-institutional crisis in the economy of the Republic of Serbia which results in the necessity of restructuring. Then, the fifth part analyses the unfavourable economic-financial position of agriculture and the necessity to restructure the branch. The sixth part, logically, analyses the position of companies in the agroeconomy of the Vojvodina Province as an agrarian region of the Republic of Serbia with the conclusion about the necessity of restructuring. The seventh part deals with our legislation on restructuring. The following (eighth) part considers the relation between the restructuring and privatization and emphasizes the significance of privatization for this process. The ninth part relates the restructuring to entrepreneurship with the purpose of enhancing the competitiveness, which is the essence of restructuring. The tenth part deals with the model of company takeover. The conclusion summarizes the assessment of the present state and problems of company restructuring in agroeconomy and suggests the measures and activities the aim of which is the advancing and more efficient realization of this important transitional process.
